Terms of Service — Local Review Reply

These Terms of Service ("Terms") govern your use of Local Review Reply (the "Service") operated by localreviewreply.com ("we", "us", or "our"). By using the Service, you agree to these Terms.

1. The Service

Local Review Reply provides an AI-powered tool that connects to your Google Business Profile via Google's official API to detect new reviews and generate AI-drafted reply suggestions. You may configure the Service to auto-publish replies or queue them for manual approval.

The Service is not affiliated with or endorsed by Google LLC. Google and Google Business Profile are registered trademarks of Google LLC. Our use of these terms is solely descriptive of the third-party service we integrate with.

2. Eligibility

You must be at least 18 years old and authorized to manage the Google Business Profile locations you connect to the Service. If you use the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Your Google account and Business Profile access

You grant us permission to access your Google Business Profile via the scopes you authorize during the OAuth connection. This allows us to list managed locations, read reviews, and post approved replies on your behalf. You can disconnect Google Business Profile from Account settings or revoke access from your Google account permissions, which will disable review polling and reply posting for your account.

You remain responsible for all replies posted to your Business Profile through the Service, including AI-generated replies that are auto-published. You should review AI-generated content for accuracy, appropriateness, and compliance with Google's review reply policies before enabling auto-publish mode.

4. Acceptable use

You must not use the Service to:

Post false, misleading, or defamatory replies
Violate Google's Business Profile policies or any applicable terms of service
Harass, threaten, or abuse reviewers
Circumvent rate limits or access controls
Attempt to reverse-engineer, scrape, or misuse the Service infrastructure
Resell or sublicense the Service without our written permission (except as included in approved custom plan features)

We reserve the right to suspend or terminate accounts that violate these rules without refund.

5. AI-generated content

Reply drafts are generated by AI and may contain errors, inaccuracies, or inappropriate content despite our best efforts. You are solely responsible for reviewing and approving AI-generated content before it is posted to Google, particularly in approval queue mode. We strongly recommend reviewing all drafts for negative reviews regardless of your auto-publish settings.

We do not guarantee that AI-generated replies will be accurate, appropriate for your specific situation, or compliant with your industry's regulations. Always apply professional judgment before posting.

6. Subscription and billing

Paid plans are billed monthly or annually in advance. By providing payment information you authorize us to charge your payment method on a recurring basis until you cancel.

Free trials on paid plans last 14 days. If you do not cancel before the trial ends, you will be charged for the first billing period.

You may cancel your subscription at any time. Monthly subscriptions cancel at the end of the current billing period. Annual subscriptions cancel at the end of the current annual period. We do not offer prorated refunds for unused time on cancelled subscriptions except where required by applicable law.

We may change plan pricing with 30 days' notice to your registered email address. Continued use of the Service after a price change constitutes acceptance of the new price.

7. Service availability

We aim for high availability but do not guarantee uninterrupted service. The Service may be unavailable during maintenance windows or due to factors outside our control (including Google API outages). We are not liable for missed reviews or replies due to service interruptions.

8. Intellectual property

The Service and its underlying technology are our property. You retain ownership of your business data, brand voice training content, and review data. You grant us a limited license to process this data solely to provide the Service.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, customers, or reputation, arising from your use of the Service or AI-generated content posted to your Business Profile. Our total liability for any claim is limited to the amount you paid us in the 3 months preceding the claim.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages (including legal fees) arising from your use of the Service, content you post to Google, or your violation of these Terms.

11. Termination

You may terminate your account at any time by cancelling your subscription and emailing support@localreviewreply.com. We may terminate or suspend your account for violation of these Terms. Upon termination, your access to the Service ends and we will process data deletion per our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which the business is registered, without regard to conflict of law provisions. Disputes shall be resolved by binding arbitration or in a court of competent jurisdiction in that jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
